DRAFT — NOT EFFECTIVE. Simple Agent Store is operated by Rishabh Mehan, an individual based in California, United States. Governing law, dispute venue and effective date remain pending. This document is proposed service terms, not an approved agreement or legal advice. Do not rely on it for a paid launch.
Once finalized and presented for acceptance, these terms will govern the Simple Agent Store hosted website, dashboard, REST API and MCP service. If you act for an organization, you must have authority to bind it. Proposed eligibility: users must be at least 18 and legally able to enter a contract; this age requirement requires owner approval before launch.
2. What the service does
Simple Agent Store stores structured objects such as notes, todos, contacts and JSON so authorized agents can save and retrieve them across tools. It is not an AI model, an automatic memory system, a document archive or a guaranteed backup service. Natural-language interpretation belongs to the connected agent; the store executes structured operations.
The separately distributed open-source core is governed by its accompanying software license. Hosted subscriptions pay for the managed service, not exclusive rights to the open-source code. Third-party agent services have their own terms.
3. Accounts and connected agents
Provide accurate account information and protect your sign-in account and API keys. Only connect agents and applications you trust. A connected agent with an active key can read, create, modify or delete your objects within that key's permissions; the current keys permit both reading and writing. Revoking a key prevents future authorized access with that key, but cannot recall copies already retrieved by an agent.
You are responsible for the instructions and permissions you give agents. Review important saves, updates and deletions: agents may misunderstand requests, select the wrong tool or overwrite data. We do not guarantee that a third-party agent will always save or retrieve correctly. Report suspected unauthorized access through the operator contact that must be published before launch.
4. Ownership and permitted data use
You retain your rights in the content you store. You give the operator a limited right to host, reproduce, index, transmit and otherwise process that content only to operate, secure, maintain and support the service, comply with law and carry out your instructions. This does not transfer ownership or grant a general right to sell your content or use it to train AI models.
You must have the rights and permissions needed to store and share the content, including any personal data about other people. The Privacy Policy explains account data, service providers and connected-agent disclosures. Business customers needing a data processing agreement must arrange one before uploading personal data on behalf of others; no standard DPA is currently offered in the app.
5. Acceptable use
Do not use the service for unlawful content, infringement, malware, spam, credential theft, security attacks, abusive automation, evasion of limits or unauthorized access. Do not store raw payment-card details, authentication secrets, government identity documents, regulated health records or other highly sensitive data that requires protections or agreements the service has not committed to provide.
The service is for small structured objects, not bulk file hosting or redistributing prohibited material. We may restrict access to address a material breach, fraud, legal obligations or a security threat. Where practical and lawful, we will explain the reason and allow you to resolve it. Restrictions must not override mandatory consumer or refund rights.
6. Plans and usage limits
Current proposed hosted plans: Free — 100 objects; Pro — $5/month and 10,000 objects; Plus — $12/month and 50,000 objects; Unlimited — $50/month with no object-count cap. Prices are USD base prices; the checkout shows the applicable currency, tax and final charge. Confirm the displayed plan before subscribing.
Every plan limits each persisted object to 65,536 bytes, including its value, user metadata and searchable text. Account-wide request/write limits per minute are Free 30/10, Pro 120/60, Plus 300/120 and Unlimited 600/300. Keys share these limits; batched MCP tool calls count individually. Other documented transport, key-count and security limits also apply. Unlimited does not mean unlimited traffic or payload size.
There are no automatic overage charges or automatic paid upgrades. At the object-count cap, new objects are blocked; existing objects remain readable, editable and deletable within other limits. Downgrading alone does not delete stored objects. Expired objects may be excluded from retrieval but still consume storage/count until deleted. The pricing page describes the current limits; material changes require appropriate notice before they apply to an existing subscription.
7. Payment, renewal and cancellation
When live checkout is enabled, Paddle acts as merchant of record and authorized reseller. Your purchase and payment processing are also subject to Paddle's Buyer Terms and Refund Policy, linked below. The operator provides the storage service; Paddle processes payments, applicable transaction taxes, billing records and payment support.
Paid subscriptions renew monthly and authorize recurring charges to the selected payment method until cancelled. Checkout must disclose the recurring amount, interval and applicable tax before you confirm. No trial is currently included. Account creation or selecting a plan does not itself purchase a subscription. Price changes require notice and any consent required by applicable law or Paddle's terms.
Manage invoices, payment methods and cancellation through Billing → Manage billing, or the Paddle buyer portal linked from your subscription email. Cancellation normally takes effect at the end of the paid billing period, with access continuing until then. Cancelling billing and deleting an account or an object are separate actions; request and verify both when you want both.
Upgrades require reviewing and confirming the displayed prorated charge and new recurring amount. For a lower paid tier, the current flow is to cancel, wait until the existing paid period ends, then subscribe to the lower tier. A failed or delinquent payment can reduce paid entitlements; we do not silently delete objects merely because a plan changes. Refunds and statutory withdrawal rights are addressed in the separate Refunds & Cancellation policy.
8. Data access, deletion and termination
You can retrieve and delete objects through the dashboard or authorized APIs. Keep a separate copy of important information. Account-wide export and self-service account deletion are not implemented yet; the operator must establish a verified support process before launch. This draft does not promise an unavailable self-service feature or a fixed retention period.
Deleting active data does not necessarily immediately erase backups, provider logs, billing records or copies held by connected agents. Retention and deletion schedules must be finalized in the Privacy Policy before launch. Suspension, account closure or discontinuation must be handled consistently with applicable law, paid-period commitments and refund rights; urgent security or legal restrictions may require immediate action.
9. Availability and responsibility
No service-level agreement or uninterrupted availability guarantee is included unless separately agreed. Subject to non-waivable rights, the service is provided as available, and we do not guarantee error-free agent behavior or fitness for safety-critical, medical, legal or financial decisions. Maintain your own backups and verify important records.
Liability limitations, any monetary cap and any required exceptions remain for counsel and owner approval; this draft does not impose a numerical liability cap, mandatory arbitration or a class-action waiver. Nothing in finalized terms should exclude liability or consumer remedies that cannot lawfully be excluded, including applicable protections concerning fraud or personal injury.
10. Changes, disputes and contact
Material changes to service terms or privacy practices must be communicated through an appropriate notice and, where required, fresh consent before taking effect. A versioned document or notice alone is not evidence of user acceptance. The production acceptance and notification process must be implemented before launch.
Governing law and dispute venue are not yet selected. They must be filled in and reviewed before these terms become effective. The operator's California location does not itself select governing law or dispute venue. Mandatory protections and courts available to consumers under applicable law are preserved.
